# Terms of Service — Vicinity

These Terms are an agreement between you and Vicinity Social, LLC ("Vicinity", "we", "us"). By creating an account or using the app or website, you accept them. If you do not accept them, do not use Vicinity.
## 1. You must be 18
You must be at least 18 years old. By using Vicinity you confirm that you are. We ask for your date of birth at sign-up and will close any account we believe belongs to someone under 18.
## 2. What Vicinity is
Vicinity shows you other members near you, by approximate distance, so you can meet people nearby. It is open to people of all genders and orientations. You only see members whose preferences match yours and who match yours in return.
## 3. Your account
- Keep your password private. You are responsible for what happens on your account.
- One account per person. Do not impersonate anyone, and do not create a new account to get around a ban.
- Give accurate information about yourself, including your age.
- Tell us at support@vicinity-social.com if you think someone else is using your account.
## 4. Rules of use
You agree not to:
- Harass, threaten, stalk, bully or abuse anyone.
- Post sexual content involving minors, or anything that sexualizes a minor, in any form. This is reported to NCMEC and to law enforcement.
- Post nudity or sexually explicit content, in profiles or in chat.
- Post content that is illegal, violent, hateful, or that promotes self-harm or illegal drugs.
- Share private information about another person, or share photos, videos or messages from another member outside the app without their permission.
- Sell anything, advertise, run scams, ask members for money, or send spam.
- Use Vicinity for commercial sex work or human trafficking.
- Upload content that you do not have the right to use.
- Try to work out another member's exact location, scrape the service, break into it, or interfere with how it runs.
- Use bots or automated tools on the service.
We may remove content and suspend or close accounts that break these rules, without notice where the situation calls for it.
## 5. Your content
You keep ownership of your photos, videos and messages. You give us permission to store, resize, screen and display them as needed to run Vicinity, including showing your profile to other members. This permission ends when you delete the content or your account, except for copies we must keep by law and for content already shared with other members.
## 6. Screening and review
All photos and videos are screened automatically before they appear. Content may be rejected, held for review by our team, or removed later. Content is also checked against databases of known child sexual abuse material, and any match is reported to NCMEC and preserved for authorities, as federal law requires.
## 7. Safety, and what we don't do
- **We do not run criminal background checks** on members, and we do not verify that members are who they say they are.
- **We cannot promise anyone's conduct**, online or in person. Use good judgment, meet in public places, and tell someone where you are going.
- **Use the tools we give you:** block, report, hide your distance, and turn on incognito.
- **If you are in danger, contact the police first**, then let us know at support@vicinity-social.com so we can help with an investigation.
## 8. Cooperating with law enforcement
We cooperate with active criminal investigations involving activity on Vicinity, and we respond to valid legal process such as subpoenas, court orders and warrants. In emergencies involving a risk of death or serious injury, we may share information without waiting for legal process.
## 9. Memberships and payments
- **Free and paid.** Some features may require a paid membership. What each membership includes, and its price, is shown before you buy.
- **Where you buy matters.** Purchases in the iPhone or Android app are handled by Apple or Google under their terms, and refunds go through them. Purchases on our website are handled by our payment processor.
- **Renewals.** Memberships renew automatically until you cancel. Cancel any time through your app store or in Settings; you keep access until the end of the period you paid for.
- **Refunds.** Except where the law or an app store requires otherwise, payments are not refundable.
- **Price changes.** We will tell you before a price change affects you.
## 10. Ending your account
You can delete your account any time in Settings. We can suspend or close your account if you break these Terms, if we are required to by law, or to protect members. If we close your account for breaking the rules, you are not entitled to a refund.
## 11. Service "as is"
Vicinity is provided as is and as available. We do not promise that it will always work without interruption or errors, or that it will suit your purposes. To the fullest extent the law allows, we disclaim all warranties, including any implied warranty of merchantability, fitness for a particular purpose and non-infringement.
## 12. Limits on our liability
To the fullest extent the law allows:
- We are not responsible for indirect, incidental, special or consequential damages, or for lost profits or lost data.
- We are not responsible for the conduct of any member, online or offline.
- Our total liability to you for any claim is limited to the greater of the amount you paid us in the 12 months before the claim, or $100.
Some states do not allow certain limits, so parts of this section may not apply to you.
## 13. Disputes
**Start with us.** Email support@vicinity-social.com and give us 30 days to sort it out. Most problems can be handled that way.
**Governing law and where claims are heard.** These Terms are governed by the laws of the State of California, without regard to its conflict of law rules. Any dispute that is not resolved informally will be heard in the state or federal courts located in Los Angeles County, California, and you and Vicinity each consent to those courts. Nothing here prevents either of us from bringing a claim in small claims court.
## 14. Changes to these Terms
We may update these Terms. If a change is material, we will notify you in the app or by email before it takes effect and update the date above. Continuing to use Vicinity after that means you accept the new Terms.
## 15. Other terms
- If any part of these Terms is unenforceable, the rest still applies.
- Our not enforcing a rule once does not waive it.
- You may not transfer these Terms; we may transfer them to a company that takes over Vicinity.
- These Terms, plus the Privacy Policy, are the whole agreement between us about Vicinity.
